An individual who is a Malaysian resident of at least 18 years of age and who is not disqualified under the Companies Act 2016 may be considered a natural person.
How long does registering a Sdn Bhd Company in Malaysia take?
The process of registering a Sdn Bhd Company typically requires 1 to 5 working days.
 
What information do I need to set up a Sdn Bhd Company in Malaysia?
You will need the following information:
  • Proposed company name
  • A brief description of business activities
  • Number of ordinary shares to be held by each shareholder(s)
  • Total paid-up capital and price per share
  • Details of Director(s) and Shareholder(s) such as Name, Identification number, nationality, residential address, email address
  • A copy of National Registration Identity Card (Malaysian) or Passport (Non-Malaysian) for all Director(s) and Shareholder(s)
Do I have to appoint a company secretary for my Sdn Bhd?
Yes, all Sdn Bhd entities are required to appoint a company secretary within 30 days following their date of incorporation.
Do I need a registered office address?
Yes, all Sdn Bhd entities are required to have a registered office address, to which all communications and notices must be directed. Furthermore, the registered office must be readily available and accessible to the public during regular business hours.

What is the minimum required paid-up capital for the registration of Sdn Bhd company?
The minimum paid-up capital requirement is RM1, usually, we would recommend a paid-up capital of RM100 for a start.
How many shares do I need to issue for a Sdn Bhd?
When forming a Sdn Bhd company, you should at least issue a minimum one (1) share for company. You may issue more shares if you have more than one shareholder.
How many Directors do I need to register for a Sdn Bhd?
A minimum of one director who is at least 18 years old and residing in Malaysia who is not a bankruptcy. 
When can I start trading with my new Sdn Bhd Company?
Trading activities of your new Sdn Bhd Company may commence immediately once the incorporation of your Company is completed.
What is service address?
Service Address is the address which authorities can easily reach you. This could be either your residential or work address, or simply your email address.
Can I incorporate a Sdn Bhd in Malaysia without having its director reside in Malaysia?
No, there must be at least 1 director who ordinarily resides in Malaysia in order to register a Sdn Bhd.
Can a Sdn Bhd Company be 100% foreign-owned?
Yes. The shares of a Sdn Bhd Company could be 100% owned by Foreigners/Non-Malaysian.

What are the factors to consider when deciding the name of the company?

There are 11 rules for naming a company (Sdn Bhd) which are:

  1. The company name must not already exist.
  2. The company name must not be identical with the company name of another existing business entity.
  3. The company name must not contain words that have the same meaning as the word ‘company’.
  4. The company name can be in any language such as English, Bahasa, Chinese or any foreign languages.
  5. The company name can consist of the names of directors.
  6. The company name can contain the usage of certain symbols.
  7. The company name must not be a potentially confusing acronym.
  8. The company name must not contain profanities in any language.
  9. The company name must not contain any gazetted words (e.g., Royal, Federal, ASEAN).
  10. The company must not contain controlled words that are limited due to national and public interest (e.g., Astro, Liquor, 1Malaysia).
  11. The company name must not contain words that suggest connections with activities regulated by laws, governmental agencies, and professional bodies.
What is the maximum number of shareholders in a Sdn. Bhd.?
The maximum number of shareholders for a Sdn Bhd is 50 members.
How long can I reserve my company name?
You can reserve your company name for 30 days. The 30-day period begins from the time your application is lodged.
Can I extend the reservation of company name?
Yes, extension can be applied with SSM before expiry.
